Packsphere LLC – Business Terms & Conditions (B2B – UAE)

 

Packsphere LLC (hereinafter referred to as “Packsphere”) conducts its operations as a Business-to-Business (B2B) trading company within the United Arab Emirates. The following terms and conditions govern all transactions between Packsphere and its business clients (hereinafter referred to as “Client”).

1. Business Registration & Verification

Clients are required to provide valid trade licenses and company registration documents in accordance with UAE law. Packsphere reserves the right to verify the Client’s business credentials before establishing a trading relationship.

2. Orders & Quotations

All orders must be submitted in writing (sales@packsphere.ae). Quotations provided by Packsphere are valid for a specific period and subject to product availability. Orders become binding only upon written confirmation from Packsphere. Packsphere retains the right to decline or cancel any order at its discretion.

3. Pricing & Payment

Prices are quoted in AED unless otherwise specified in writing. Payment terms will be detailed in the invoice or agreed upon separately through contract. Accepted payment methods include bank transfers and any other method agreed upon in writing. Late payments may incur penalties as outlined by UAE commercial law. Packsphere retains ownership of goods until full payment is received. VAT will be applied in accordance with UAE regulations.

4. Delivery & Logistics

Delivery terms (Incoterms) will be mutually agreed upon in writing. Delivery schedules are approximate and may be subject to changes due to unforeseen circumstances. Clients are responsible for providing accurate delivery information. Any discrepancies or damages upon delivery must be reported in writing within 24 hours. Packsphere can provide logistical support, or the client may opt to use their own logistics providers.

5. Returns & Refunds (B2B Specific)

Returns are accepted only for defective or incorrect goods, and must be reported in writing within 7 days of delivery. Returns are subject to inspection and approval by Packsphere. Refunds or replacements will be processed in accordance with the agreed terms. Due to the nature of B2B transactions, returns for reasons other than defects or errors may not be accepted. Fresh, chilled, and frozen goods are non-returnable in accordance with UAE health regulations.

6. Liability & Warranty

Packsphere’s liability is limited to the value of the goods purchased. Packsphere is not responsible for any indirect, consequential, or incidental damages. Any warranties, if applicable, will be provided in accordance with the manufacturer’s terms and conditions. Packsphere is not liable for any issues arising from improper storage of goods by the client.

7. Confidentiality

Both parties agree to maintain the confidentiality of all business information exchanged during the trading relationship.

8. Governing Law & Dispute Resolution

These terms and conditions shall be governed by the laws of the United Arab Emirates. Any disputes arising from these terms will fall under the jurisdiction of the Dubai Courts.
